About the Position: GPTech is seeking a
Transaction Attorney to support a merger and acquisition consulting research project for the United States Agency for International Development in Nassau, Bahamas. The ideal candidate will have expertise in mergers and acquisitions, complex corporate structuring, finance and accounting, corporate governance matters, and other business transactions. Additionally, the candidate should possess the ability to analyze corporate transaction documentation and due diligence information to identify and evaluate information relevant to potential breaches of representations and warranties. Specific knowledge of transactional legal exposures, including representation and warranty breaches, tax issues, price adjustment mechanisms, litigation, and computation and measure of damages, is a plus.
Responsibilities: - Provide legal counsel for a wide range of corporate and transactional matters.
- Handle mergers and acquisitions, corporate structuring, finance, corporate governance, and other business transactions.
- Analyze corporate transaction documentation and due diligence information.
- Identify and evaluate information relevant to potential breaches of representations and warranties.
- Assist in resolving transactional legal exposures, including representation and warranty breaches, tax issues, price adjustment mechanisms, litigation, and damages.
Qualifications: - Juris Doctor (JD) degree from an accredited law school
- Active bar admission in the relevant jurisdiction
- Minimum 12 years of experience with corporate legal matters
- Expertise in mergers and acquisitions, corporate structuring, finance, corporate governance, and business transactions
- Ability to analyze corporate transaction documentation and due diligence information
- Knowledge of transactional legal exposures is a plus
